"Source code" refers to the human readable form of WebGEO that is suitable for making modification to it. Yes, you get the complete source code for the WebGEO solution that cost us over $1,000,000 to develop. This is your guarantee of long-term usability. It also enables you to develop enhancements yourself that can be integrated into WebGEO, subject to certain terms and conditions, described in layperson terms below. However, the license agreement contains the actual, proper legal verbiage.
- FBS, at all times, retains full ownership of the software code and all derivative code associated with the WebGEO source code.
- You as the licensee receive a copy of all the source code and a license in perpetuity to modify the code as you wish. However:
- FBS will not support your website code if you make any changes to the source code
- Maintenance fees are still applicable since you are entitled to all minor upgrades, bug fixes and technical support.
- You may choose to submit a feature enhancement to FBS for consideration in a future version release. If FBS accepts your source code, then the feature and relevant source code will be supported in subsequent releases of WebGEO.
- FBS is not responsible for incompatibilities in subsequent major and minor releases of WebGEO if you have made any changes to your code.
- A Scope of Work analysis will be conducted to define the specific "look and feel" customizations you require for your copy of WebGEO. The right to use the Source Code is strictly for the online customer facing website product as defined in your Scope of Work and is not transferable to any other party.
- In the event that First Base Solutions becomes insolvent, bankrupt, or is otherwise unable to perform its duties described in the License Agreement, then the licensee will receive the non-exclusive worldwide right to use FBS' WebGEO technology for any purpose related to the businesses of any of the licensee, its subsidiaries or parent company, except that it and they will not have the right to sell, resell, re-license or give away the source code to any third party not specifically identified in your license Agreement.
